Agreement
GENERAL TERMS OF MEMBERSHIP & USE
LapDog Club and all trademarks,
service marks, Websites, concepts,
information and materials associated
with the Lap Dog Club, Canine Lovers
Care and LapDogClub.com
are properties of Community Clubs, Inc.,
a Florida corporation.
Use of
any features, services, programs,
meetings, gatherings, events or
activities related to LapDog Club,
Canine Lovers Care or LapDogClub.com (collectively referred to
as the “Club”), printing or downloading
materials from the Club, or otherwise
using and/or participating in any aspect
of the Club, constitutes member’s
agreement to these Terms of Membership
(referred to as “Terms”).
These
Terms may be modified from time to time
by Community Clubs, Inc. without notice
to members. The effective Terms will be
posted on LapDogClub.com and also may be
obtained from Community Clubs, Inc. upon
written request.
The names LapDog
Club, Canine Lovers Care and LapDogClub.com, when used or
referenced in these Terms directly or
indirectly, also incorporate Community
Clubs, Inc.; and, the term “members”
refers to LapDog Club members.
RELEASE OF LIABILITY
Members are strongly advised that there
are inherent risks associated with
interactions among humans and animals,
including the potential for property
damage and for injuries to persons and
animals. Each member is solely
responsible for his or her own actions
and the actions of his or her animal(s)
at all times, whether directly or
indirectly engaged in activities of the
Club or otherwise. Members are advised
to seek the advice of competent
professional counsel regarding risks.
Members are required to ensure that
their animal(s) is in good health, and
that all required vaccinations and
associated certificates (as may be
required by local and state laws) are
up-to-date, before the animal(s)
interact with others in the course of
Club, Chapter or public activities.
Members are advised to seek and maintain
the services of licensed veterinary
health professionals.
Neither Community Clubs, Inc. nor
its principals, employees, agents, heirs
or assigns, individually or
collectively, make any representations
to members with respect to the benefits,
suitability, reliability, timeliness or
accuracy of the Club for any purpose.
All aspects of the Club are provided “as
is” without warranty of any kind,
expressed or implied. Community Clubs,
Inc. and its principals, employees,
agents, heirs and assigns, individually
and collectively, disclaim all
warranties and conditions with respect
to the Club, including all implied
warranties and conditions of
merchantability, fitness for a
particular purpose, title and
non-infringement.
Members agree to release and hold
harmless Community Clubs, Inc. and its
principals, employees, agents, heirs and
assigns, individually and collectively,
from all direct, indirect, punitive,
incidental and special or consequential
damages or liabilities including,
without limitation, damages for loss of
use, data or profits resulting from the
use, non-use, performance or
non-performance of the Club, for any
delay or inability to use the Club, or
for any information, software, products,
services, files or graphics obtained
directly or indirectly through or in the
course of associating with the Club.
The sole legal and financial remedy for
members who are dissatisfied with any
aspect of the Club or its performance is
discontinuance of use of the Club.
LICENSE & LIMITATION OF USE
Community Clubs, Inc. grants each
member a revocable, non-exclusive
license to use the website, features,
trademarks, information and materials of
the Club, as provided by Community
Clubs, Inc. , for public and
member-to-member promotion and
communication. This license does not
entitle or convey to members any rights,
ownership or proprietary interest in
Community Clubs, Inc., the Club or any
other entities, items, goods, materials
or properties associated with Community
Clubs, Inc. or the Club.
The services and features of the Club
are provided for the personal and
non-commercial use and enjoyment of
LapDog Club members. Members must not
modify, copy, redirect, distribute,
transmit, display, perform, reproduce,
publish, license, create derivative
works from, transfer, or sell any
information, email addresses, software,
products or services obtained or
extracted from the Club by any member or
others, without the advance approval of
Community Clubs, Inc. in writing.
To safeguard the public image and
reputation of the Club, the use or
display in public of any information,
materials or graphic designs not
supplied by Community Clubs, Inc. is
subject to the advance approval of
Community Clubs, Inc. in writing.
Trademark images must be used and
displayed in the manner and form
specified by Community Clubs, Inc.
Members must not use or adapt any
services or features of the Club for any
purpose that is unlawful or prohibited
by these Terms.
Community Clubs, Inc., at its sole
discretion, reserves the right to revoke
this license and to suspend or terminate
membership and services, features and
benefits of the Club at any time without
notice.
LINKS
The Club may include links to
websites and services operated by
Community Clubs, Inc. or its affiliates.
Member use of such sites or services
also is subject to the terms, policies
and provisions of these Terms. These
Terms supersede the terms, policies and
provisions of any such websites and
services in any case of conflict.
The Club may provide for members’
convenience links to websites and
services operated by parties other than
Community Clubs, Inc. Community Clubs,
Inc. does not control such elements and
therefore is not responsible for their
content, services or functions, or for
any actions, liabilities, losses or
damages incurred by any member because
of access to or use of such links.
Inclusion of such links does not
establish or imply any warranty or
endorsement by Community Clubs, Inc.
COMMUNITY CONTENT & SERVICES
Community Clubs, Inc. reserves the right, in its sole discretion, to deny any user
or advertiser access to or use of
LapDogClub.com or any portion thereof,
for any reason and without
notice.
MODIFICATION OF THESE TERMS AND CONDITIONS
The Club may provide directories,
message and chat services, news groups,
forums, communities or other
communication or social networking
facilities (individually and
collectively referred to as
“Communities”). Use of the communities
is limited to the sending and receiving
of messages and material that are proper
and related to the applicable
Communities. By example, but without
limitation, members must not:

Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful
topic, name, material or information.

Upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity)
unless you own or control the rights thereto or have received all necessary consents.

Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's
computer.

Advertise or offer to sell any goods or services for any commercial purpose unless you are authorized by and contracted with Community
Clubs, Inc. to do so.

Conduct or forward surveys, contests, pyramid schemes or chain letters.

Download any file posted by another user of Communities that you know, or reasonably should know, cannot be legally distributed in
such manner.

Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of
software or other material contained in a file that is uploaded.
- Restrict or inhibit any other user from using and enjoying the Communities.
Community
Clubs, Inc. assumes no obligation to
monitor the Communities and therefore is
not obligated or liable for the nature,
use or misuse of the contents of the
Communities. However, Community Clubs,
Inc. reserves the right to monitor the
Communities and to disclose any
information related to the Communities
as necessary to safeguard the
performance of members under these
Terms, and to satisfy any applicable
law, regulation, legal process or lawful
request of a governmental agency or
court of law. Community Clubs, Inc., at
any time, may edit, refuse to post, or
remove any information or materials from
the Communities it deems to be in
violation under these Terms.
The Communities are public
communications, and therefore member
communications may be accessed and read
by others without member knowledge or
consent. Members are advised to use
extreme caution when giving out any
personal identifying information when
using the Club or the Communities.
Community Clubs, Inc. does not control
or endorse the content, messages or
information in the Communities, or the
expressions or actions of participants
in the Communities. Participants in the
Communities are not necessarily
authorized spokespersons of Community
Clubs, Inc., and their opinions,
information, advice and any other
communications do not necessarily convey
or represent the position of Community
Clubs, Inc.
INITIATION OF
CHAPTER; PARTICIPATION IN CHAPTER;
CHAPTER TRANSFERS
A new
Chapter of the Lap Dog Club may be
initiated at any time by any member,
subject to the registration
requirements, process and approval of
Community Clubs, Inc.
Community
Clubs, Inc., at its sole discretion,
will provide Chapters with support,
e.g., guidance, templates, artwork,
etc., to aid Chapter organization,
marketing and communications.
The new-Chapter Initiator (person who
first registers the Chapter in a given
geographic territory) serves as interim
Chapter Leader until a Chapter Leader is
elected by the simple majority vote of
the Chapter’s members, and thereafter at
an annual vote of the Chapter’s members
conducted for such purposes.
Chapter leadership, voting and all other
aspects of Chapter organization and
operation are subject to the policies
and guidelines as published and amended
from time to time in the form of the
LapDog Club Leadership Guide made
available by Community Clubs, Inc. to
all Chapter Leaders and other assigned
Chapter leadership.
If, at any
time for a period of thirty (30)
consecutive calendar days, the Chapter
is without a Chapter Leader and no
member of the Chapter is willing to
serve in such capacity, then Community
Clubs, Inc., at its discretion, may
appoint an interim Chapter Leader until
such time as a replacement is elected by
Chapter members.
A member may
transfer membership to another Chapter
of the Club at any time by changing the
Chapter designation displayed within the
member’s private administration page on
LapDogClub.com.
RIGHT OF USE
Use of
the Club constitutes members’ full and
unconditional permission and consent for
Community Clubs, Inc. to use, modify,
copy, distribute, transmit, publicly
display, publicly perform, reproduce,
publish, sublicense, create derivative
works or to otherwise benefit from text
and graphic content authorized by the
members and published by the Club for
public consumption; and, further, the
right to exploit any proprietary rights
in such contents, including, without
limitation, any rights under copyright,
trademark and patent laws.
MODIFICATION
Community
Clubs, Inc. reserves the right to change
the names, aspects, features, programs,
content, terms, policies and provisions
of the Club at any time without notice.
OTHER TERMS
These
Terms are subject to the laws of the
State of Florida and the United States
of America, and to the jurisdiction of
the courts of Okaloosa County, Florida.
None of these Terms precludes or denies
Community Clubs, Inc.’s right to comply
with requests or requirements of
government, courts or law enforcement
agencies concerning the use of the Club
or any information provided to or
gathered by Community Clubs, Inc. with
respect to use of the Club.
If any part of these Terms is determined
to be invalid or unenforceable pursuant
to applicable law, then the invalid or
unenforceable provision will be deemed
superseded by a valid, enforceable
provision that most closely matches the
intent of the original part, and the
remainder of these Terms will continue
in effect.
These Terms constitute the entire and
exclusive agreement and understanding
between members and Community Clubs,
Inc. Any rights not expressly granted by
these Terms are reserved.
